Restaurant Partner Terms and Conditions

Important Notice

This document is an electronic record in terms of the Information Technology Act, 2000 and the applicable rules made thereunder. It does not require any physical or digital signatures. By clicking 'I Accept' or by onboarding onto the Zumy platform as a Restaurant Partner, you agree to be bound by these Terms and Conditions.

1. Definitions and Interpretation

  • "Zumy" refers to the service platform operated by Zumy Labs Private Limited.
  • "Platform" means the Zumy mobile application and website.
  • "Restaurant Partner" or "you" refers to the food establishment, cloud kitchen, or food business registered on the Platform to offer menu items to Users.
  • "User" means a customer who places a Food Order through the Platform.
  • "Food Order" means a request placed by a User to purchase food items from the Restaurant Partner via Zumy Food.
  • "Delivery Partner" or "Runner" means an independent individual registered on the Platform to carry out food deliveries.
  • "Subscription Plan" means the monthly fee-based plan selected by the Restaurant Partner to access the Zumy Food platform, tiered by order volume.
  • "Listing" means the Restaurant Partner's profile, menu, pricing, images, and associated information displayed on the Platform.

2. Eligibility and Onboarding

  • The Restaurant Partner must be a legally registered food business in India and hold all applicable licences, including a valid FSSAI licence.
  • By registering on the Platform, the Restaurant Partner represents and warrants that all information provided during onboarding — including business name, address, FSSAI number, bank details, and menu — is accurate and up to date.
  • Zumy reserves the right to verify credentials and reject or defer onboarding at its sole discretion.
  • The Restaurant Partner must ensure that its designated point of contact is reachable during operating hours listed on the Platform.

3. Subscription and Fees

  • Access to Zumy Food is provided on a tiered monthly subscription model based on order volume. Tiers and applicable fees will be communicated to the Restaurant Partner at the time of onboarding.
  • Subscription fees are due at the beginning of each billing cycle and must be paid via the payment methods designated by Zumy.
  • Zumy does not charge a per-order commission. The subscription fee is the sole platform charge unless otherwise agreed in writing.
  • Non-payment of subscription fees may result in temporary suspension of the Restaurant Partner's Listing until dues are cleared.

4. Menu, Pricing, and Listing Management

  • Restaurant Partners are responsible for maintaining accurate, complete, and up-to-date menu listings on the Platform, including portion sizes and allergen information.
  • Menu pricing is set by the Restaurant Partner. Zumy may suggest pricing based on market data, but the final decision rests with the Partner.
  • Zumy reserves the right to review Listings for quality and accuracy.
  • Restaurant Partners must promptly mark items as unavailable when out of stock.

5. Order Management and Fulfilment

  • Upon receiving a Food Order notification, the Restaurant Partner must accept or reject the order promptly.
  • Once an order is accepted, the Restaurant Partner is committed to fulfilling it in full.
  • Food must be packaged securely and hygienically and be ready for pickup by the Runner within the confirmed preparation time.
  • Repeated order cancellations or delays may result in listing suspension.

6. Food Quality and Safety

  • The Restaurant Partner bears full responsibility for the quality, hygiene, and safety of all food items prepared.
  • All food must be prepared in compliance with applicable FSSAI regulations.
  • Ensuring accurate allergen information and preventing cross-contamination is the sole responsibility of the Restaurant Partner.
  • Zumy's role is limited to facilitating the order and delivery connection.

7. Customer Complaints and Liability

  • The Restaurant Partner bears full liability for complaints arising from food quality, incorrect items, or safety issues.
  • Zumy may initiate a refund to the User for valid complaints and recover the amount from the Restaurant Partner.
  • Repeated complaints may result in removal from the Platform.

8. Delivery

  • Delivery is performed by independent Runners. Restaurant Partners are not responsible for delivery performance after handover.
  • Timely handover to Runners is essential to prevent delivery delays.
  • Liability for non-delivery attributable to the Runner lies with Zumy's delivery operations.

9. Data and Confidentiality

  • Zumy owns all customer data collected through the Platform.
  • Restaurant Partners must not use any customer data obtained via the Platform for marketing or solicitation outside the Platform.
  • Partners agree to maintain confidentiality of Zumy's proprietary operational data.

10. Intellectual Property

Restaurant Partners grant Zumy a non-exclusive licence to use their brand assets and images for Listing and marketing. Zumy's trademarks and technology remain the exclusive property of Zumy Labs Private Limited.

11. Suspension and Termination

Zumy reserves the right to suspend or delist a Partner for repeated quality issues, FSSAI lapse, fraud, or non-payment of fees. Partners may exit the Platform at any time with written notice to support@zumy.in.

12. Limitation of Liability and Indemnity

Zumy's liability is limited to the subscription fees paid in the preceding month. Restaurant Partners agree to indemnify Zumy against any claims arising from food safety violations or customer complaints.

13. Dispute Resolution

All disputes shall be resolved through arbitration in Bengaluru, Karnataka, in accordance with the Arbitration and Conciliation Act, 1996.
